The most important thing to understand: ticket.aadtech.ng is a software platform — not an event organiser, co-host, or guarantor. We provide the tools. The organiser runs the event. Your ticket purchase is a contract between you and the organiser. AADTECH.NG processes the payment and holds funds in escrow, but we are not responsible for what happens at the event itself. Read Section 9 on liability before you use this platform.

1. Who We Are

ticket.aadtech.ng is a digital ticketing platform operated by AADTECH.NG, a Nigerian technology company and part of the AADTECH.NG ecosystem of digital products. We provide software that allows event organisers to create events and sell tickets, and allows buyers to purchase tickets and receive them digitally.

By accessing or using this platform in any capacity — as an organiser, a buyer, or a visitor — you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

These Terms apply alongside our Privacy Policy and Refund Policy, which form part of the same binding agreement.

2. The Nature of Our Service

AADTECH.NG provides software infrastructure only. We are not an event organiser, co-host, promoter, partner, or guarantor of any event listed on this platform.

The relationship is straightforward:
— The organiser creates the event and is solely responsible for planning, delivering, and managing it.
— The buyer purchases a ticket and holds a right of attendance as described by the organiser.
— AADTECH.NG provides the platform that connects them, processes the payment, and holds funds in escrow.

Any dispute about the event itself — quality, safety, cancellation, venue conditions, timing, or refunds — is a matter between the buyer and the organiser. AADTECH.NG will cooperate constructively where we can, but we are not a party to the buyer-organiser contract. Our liability is strictly limited as described in Section 9.

3. Organiser Obligations

If you create an event on this platform, you agree to:

— Deliver the event as described, on the stated date and at the stated location.
— Set accurate ticket prices, capacities, ticket types, and refund policies before publishing.
— Obtain all necessary government permits, venue licences, and regulatory approvals required for your event under Nigerian law — including but not limited to public gathering permits, noise permits, and venue safety certifications. AADTECH.NG is not responsible for events shut down by authorities due to absent or deficient permits.
— Complete KYC verification at the tier required before requesting payout.
— Not create false, misleading, or fraudulent events.
— Handle all buyer personal data in compliance with the Nigeria Data Protection Act 2023.
— Comply with all applicable Nigerian laws, including consumer protection, public safety, entertainment licensing, and tax obligations.
— Not use the platform to process payments for prohibited activities (see Section 4A).

Violation of any of these obligations may result in immediate account suspension, escrow freeze, payout forfeiture where fraud is established, and where appropriate, referral to Nigerian law enforcement agencies including the EFCC and FCCPC.

4. Prohibited Events

The following categories of events are strictly prohibited on this platform. Creating an event in any prohibited category will result in immediate removal, account suspension, and potential reporting to Nigerian authorities:

— Events that promote or facilitate illegal gambling, unauthorised lottery schemes, or pyramid/Ponzi structures.
— Events with adult or sexually explicit content.
— Events promoting or facilitating violence, terrorism, or extremism of any kind.
— Events targeting minors with inappropriate content or activities.
— Events designed to defraud buyers — including events with no genuine intention of delivery.
— Events promoting the sale of counterfeit goods, illegal substances, or prohibited weapons.
— Events that violate the rights of third parties, including intellectual property rights.

AADTECH.NG reserves the right to determine at its sole discretion whether an event falls within a prohibited category, and to act accordingly. Organisers who believe a removal was in error may appeal via support@ticket.aadtech.ng.

4A. Buyer Acknowledgements

By purchasing a ticket on this platform, you acknowledge:

— Your contract for event attendance is with the event organiser, not with AADTECH.NG.
— You have read and accepted the organiser's refund policy as displayed on the event page at the time of purchase.
— AADTECH.NG does not verify the quality, safety, legality, or suitability of any event.
— Your ticket is personal and non-transferable unless the organiser has explicitly enabled transfers for their event.
— A scanned ticket is a used ticket — once the QR code is scanned at entry, the ticket is marked as used and cannot be reused or refunded on grounds of usage.
— You are responsible for ensuring you meet any entry requirements set by the organiser, including age restrictions, dress code, and venue rules.
— AADTECH.NG provides QR scanning technology to organisers but does not guarantee that scanner hardware or internet connectivity at the venue will function without interruption. In the event of a scanner or connectivity failure at the gate, the organiser is responsible for determining the entry process. AADTECH.NG is not liable for any entry disputes arising from gate technology failure.

5. Payments and Platform Fees

All payments are processed by our licensed payment partners — currently Flutterwave. AADTECH.NG does not store card numbers, bank PINs, or sensitive payment credentials.

The platform fee is deducted from organiser payouts, not from buyer payments. Buyers pay the ticket price shown — no hidden charges are added at checkout.

The current platform fee is displayed on the pricing page and at the point of event creation. It is subject to change. Any fee change will be communicated to registered organisers by email at least 14 days before the change takes effect and will not affect events already published at the time of the change.

For manual bank transfer payments, the organiser must review and approve the buyer's proof of payment before a ticket is issued. AADTECH.NG does not verify manual transfer proofs — this responsibility rests entirely with the organiser. If an organiser does not review a proof of payment within a reasonable period, contact support@ticket.aadtech.ng.

6. Escrow, Payouts, and Settlement Tiers

AADTECH.NG operates two distinct payout systems depending on the organiser's verification tier:

Tier 1 — Escrow-Based Payout:
Ticket proceeds are held in escrow by AADTECH.NG until after the event. This protects buyers against event cancellation.
— 80% of net proceeds are released 48 hours after the event date, subject to no active disputes.
— The remaining 20% is released 14 days after the event once the dispute window closes.
— Advance payouts of up to the organiser's approved percentage may be requested by eligible Tier 1 organisers and are subject to Superadmin approval.

Tier 2 — Direct Settlement (Verified Business Organisers):
Organisers who have completed full KYC and KYB verification, registered a CAC business, and been promoted to Tier 2 receive payments via a dedicated Flutterwave subaccount linked directly to their bank account. Settlement is typically processed by Flutterwave on the next business day after each sale. The escrow schedule does not apply to Tier 2 subaccount settlements.

AADTECH.NG reserves the right to delay, withhold, or freeze any payout — regardless of tier — where fraud, active dispute, chargeback, or regulatory concern is identified. The organiser will be notified of any freeze and given a reasonable opportunity to respond.

7. Sponsored and Featured Event Placements

Organisers may pay to have their events featured in prominent positions on the platform — including the homepage, the Browse Events page, and related event sections. These are commercial placements governed by the following terms:

— Featured placement fees are non-refundable once a placement becomes active.
— If an event is cancelled after a placement becomes active, the placement fee is forfeited. AADTECH.NG will remove the placement but will not refund the placement fee.
— If AADTECH.NG cancels an event due to fraud or Terms violation, the placement fee is refunded in full.
— Placement duration is calculated from the time the placement is activated, not from the time of payment.
— AADTECH.NG does not guarantee a minimum number of impressions, clicks, or ticket sales from any featured placement.
— Featured placement does not imply endorsement or verification of the event by AADTECH.NG beyond the standard published checks.

8. Account Suspension and Termination

AADTECH.NG reserves the right to suspend or permanently terminate any account — organiser or buyer — that:

— Creates fraudulent, misleading, or prohibited event listings.
— Uses the platform to process payments for activities listed in Section 4.
— Attempts to circumvent the escrow system or manipulate payout processing.
— Harasses, threatens, or defrauds other users of the platform.
— Violates the Nigeria Data Protection Act in handling buyer data obtained through the platform.
— Initiates excessive chargebacks without legitimate basis.

On suspension, all pending payouts are frozen pending investigation. If the suspension is determined to be in error following investigation, frozen funds are released within 5 business days. Suspended organisers may appeal by emailing support@ticket.aadtech.ng with the subject line "Account Suspension Appeal". We will not suspend accounts arbitrarily or without documented cause.

9. Limitation of Liability

To the fullest extent permitted by Nigerian law, AADTECH.NG is not liable for:

— The failure of any organiser to deliver an event, in whole or in part.
— Loss, injury, or damage arising from attendance at any event.
— Payment failures caused by your bank, card issuer, network provider, or internet connection.
— Loss of data arising from circumstances beyond our reasonable control.
— Gate entry disputes arising from scanner hardware failure, network failure, or organiser gate management decisions.
— Indirect, consequential, punitive, or special damages of any kind.

Our total liability to any user for any claim arising from use of this platform is limited to the greater of:
(a) the total platform fees paid by or on behalf of that user in the 12 months preceding the claim, or
(b) ₦50,000.

This limitation exists because AADTECH.NG is a software intermediary, not a guarantor or insurer of events. We build the infrastructure. We do not control what organisers do with it.

10. Force Majeure

AADTECH.NG is not liable for any failure or delay in providing services arising from circumstances beyond our reasonable control, including but not limited to:

— National grid failures or widespread electricity outages.
— Internet infrastructure failures, fibre cable cuts, or ISP outages.
— Nigerian government regulatory actions, directives, or shutdowns.
— Civil unrest, protests, curfews, or security emergencies.
— Natural disasters, pandemics, or declared states of emergency.
— Payment gateway or banking system outages outside our control.

In the event of a force majeure affecting platform availability, AADTECH.NG will communicate the situation to registered users as soon as reasonably possible and will work to restore service promptly. Force majeure does not excuse organisers from their obligations to buyers — if an organiser cancels their event due to force majeure, buyers retain their legal rights under Nigerian consumer protection law.

11. Intellectual Property

The ticket.aadtech.ng platform — including its software, design, branding, trade marks, and content — is the property of AADTECH.NG. You may not copy, reproduce, reverse-engineer, scrape, or create derivative works from any part of this platform without our written permission.

Event content — including event names, descriptions, images, and branding uploaded by organisers — remains the property of the organiser. By uploading content to the platform, you grant AADTECH.NG a limited, non-exclusive licence to display that content on the platform and in marketing materials related to the specific event. This licence ends when the event is removed from the platform.

12. Indemnity

You agree to indemnify and hold harmless AADTECH.NG, its directors, employees, contractors, and agents from any claims, losses, damages, fines, or expenses (including reasonable legal fees) arising from:

— Your use of the platform in violation of these Terms.
— Your failure to deliver an event you listed on the platform.
— Your failure to obtain necessary permits or comply with applicable Nigerian law in connection with your event.
— Your violation of any third party's rights, including intellectual property or data protection rights.
— Any content you upload to the platform that is false, misleading, defamatory, or illegal.

This indemnity survives termination of your account and applies to the fullest extent permitted by Nigerian law.

13. Governing Law and Disputes

These Terms are governed exclusively by the laws of the Federal Republic of Nigeria. Any dispute arising from use of this platform is subject to the exclusive jurisdiction of courts in Nigeria.

Before initiating any formal legal action, you agree to contact us at support@ticket.aadtech.ng and give us 21 days to attempt good-faith resolution. Most issues — including payment disputes, refund questions, and account concerns — can be resolved without legal proceedings, and we prefer that outcome.

14. Changes to These Terms

We may update these Terms as the platform grows and as Nigerian law evolves. When we make material changes, we will notify registered users by email at least 7 days before the changes take effect and update the date at the top of this page.

Continued use of the platform after the effective date of any changes constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the platform. You may close your organiser account by emailing support@ticket.aadtech.ng.
